Partnership - Badfield, Sargent & Sargent

This Indenture made the first day of September One thousand nine hundred and three Between Emily Bradfield the wife of Charles Luther Bradfield of Rushden in the County of Northampton Shoe Manufacturer of the first part William Edward Sargent of Rushden Shoe Manufacturer of the second part and Walter Leigh Sargent of Rushden aforesaid Shoe Manufacturer of the third part Witnessesth as follows:-

1.   The said Emily Bradfield William Edward Sargent and Walter Leigh Sargent will become and remain partners in the business of Shoe Manufacturers from the first day of June last so long as they or any two of them shall live unless previously determined in the manner hereinafter provided.

2.   The Partnership shall be carried on under the style or firm of Walter Sargent & Co. and all Cheques bills notes letters and writings which shall be drawn accepted or written by or on behalf of the Partnership shall be signed in the name of the firm but all Cheques bills and notes shall be signed by the said Emily Bradfield or the said William Edward Sargent.

3.   The business of the Partnership shall be carried on in the Factory and Leather Room situate in Crabb Street Rushden aforesaid now occupied by the Partners of the Trustees of Walter Sargent deceased as yearly tenants at a rent of Sixty five pounds per annum or at such place or places as the Partners shall hereafter agree upon.

4.   The capital of the Partnership shall consist of the goods stock in hand machinery and trade fixtures in and upon the said Factory and Leather Room and of the book and other debts due to and monies and effects now employed in the said business which have been valued before the execution of these presents and have been found and shall be taken to be (as on the said first day of June last) of the value of Four thousand one hundred and ninety nine pounds of which Two thousand three hundred and ninety two pounds belong to the said Emily Bradfield One thousand six hundred and seventy five pounds to the said William Edward Sargent and One hundred and thirty two pounds to the said Walter Leigh Sargent and the said capital shall (subject as hereinafter mentioned) be employed in the business of the Partnership The Partners shall be entitled to interest at the rate of Five pounds per cent per annum upon the capital belonging to them as aforesaid payable half yearly on the first day of October and the first day of April and the said Emily Bradfield shall be at liberty to withdraw any part of her capital from time to time as the business is capable of bearing such withdrawal but the said William Edward Sargent and Walter Leigh Sargent shall not withdraw any part of their capital respectively without the consent of the said Emily Bradfield.

5.   If either Partner shall at any time or times hereafter with the consent of the other Partner advance any capital or leave his or her share of profits or any part thereof in the said business he or she shall be allowed and paid unless thereon half yearly at the rate of Five pounds per cent per annum from the date of the advance or of so leaving such profits or at such other rate as shall be mutually agreed upon and every sum so advanced or left and the interest thereon shall be considered a debt due from the administrators touching these presents or the construction hereof or any clause or thing herein contained or any account valuation or division of assets debts or liabilities to be made as hereinbefore is mentioned or any other thing in anywise relating to or concerning the Partnership business or the affairs thereof or the rights duties or liabilities of any or either of the Partners in connection therewith the matter in dispute shall be referred to two Arbitrators or their Umpire according and subject to the provisions of the Arbitrators Act 1889 or any then subsisting modification thereof.

6.   In Witness whereof the said parties to these presents have hereunto set their hands and seals the day and year first before written.

By Indenture of this date the Mortgage for One Thousand five hundred pounds was transferred to the within named William Warwick James the money being provided as follows: By him Six hundred and ninety pounds: By Mrs Bradfield out of her private Estate Two hundred and eighty five pounds: By the Trustees of Mr Walter Sargent deceased Five hundred and twenty five pounds

1st April 1919

By Conveyance of this date the property first described in the Second Schedule herein being the whole of the Duck Street property was sold and conveyed to Ernest Hollis for Six hundred and ninety pounds which was paid to the said William Warwick James in reduction of the Mortgage

1st May 1919

By Conveyance of this date the property comprised in the First Schedule herein was sold and conveyed to Mrs Alice Ruth Hawks for One thousand five hundred pounds.
