Cottage Hospital Deed
The Charity Deed was sealed on 8th April 1927

Charity Commission

In the Matter of the following Charities, in the Parish of RUSHDEN, in the County of NORTHAMPTON:-

1.  The Charity known as the RUSHDEN COTTAGE HOSPITAL;

2.  The Charity called or known as the FOSKETT WILKINS CHARITY for the benefit of a Cottage Hospital or Nursing Institute, founded by the Will of William Henry Wilkins proved in the Principal Registry on the 28th September 1905, and including the augmentations of Susan Elizabeth Foskett and Mary Ann Foskett;

3.  The Charity of JEREMIAH KNIGHT, founded by Will proved in the Principal Registry on the 12th January 1924; and

In the Matter of "The Charitable Trusts Acts, 1853 to 1925."

The Board of Charity Commissioners for England and  Wales, upon an application made to them on the 9th October 1926, in writing, signed by The Reverend PERCY EDWARD ROBSON, Rector of Rushden; ANNIE ROBINSON, of Grove Road, Married Woman; FRED KNIGHT, of The Old Rectory, Boot Manufacturer; and DUDLEY GEORGE GREENFIELD, of The Hayway, Esquire, M.D., F.R.C.S.; all in Rushden;

the Trustees of the Charity numbered 1 above; and also signed by

The said PERCY EDWARD ROBSON;

The said FRED KNIGHT;

JAMES ROE, of Victoria Road, Rushden, Draper;

JOSEPH HORNSBY, of Robert Street, Rushden, Retired Dairyman; and

CHARLES CLARIDGE, of Irchester Road, Rushden, Boot Manufacturer;

the Trustees of the Charities numbered 2 and 3 above:

And after due notice of the intention to make this Order published according to the direction of the Board by being affixed to or near a principal outer door of the Parish Church and the Public Library, Rushden, on the 7th February 1927 (being more than one calendar month before the date hereof); and also sent through the post to JOHN SMITH MASON, of High Street, Rushden, Auctioneer; being a person holding property in trust for the Charity numbered 3 above and not being privy to the said application, at his last known place of abode in Great Britain or Ireland, on the 4th March 1927

And having received no notice of any objection to the proposed Order for the variation thereof:

Do hereby Order as follows:

The subjoined Scheme is approved and established as the Scheme for the regulation of the Charities.

SCHEME.

1. Administration of Charities.The above-mentioned Charities and the endow­ments thereof specified in the Schedule hereto, and all other the endowments (if any) of the said Charities, shall be administered and managed, subject to and in conformity with the provisions of this Scheme, by the Committee of Management hereinafter constituted, who shall be the Trustees of the Charities.

Committee.

2.  Committee.—The Committee of Management (hereinafter referred to as the Committee) shall, when complete, consist of

Ex-officio Members, Representative Members, and Medical Members.

3.  Ex-officio Members.—The Ex-officio Members shall be—

The TRUSTEES for the time being of the Charities of William May otherwise Mayes, Nicholas Latham, and Mary Greaves, otherwise the Bull Money, which Charities are comprised in a Scheme of the Charity Commissioners of the 29th May 1877 and are sometimes known as the Parochial Charities.

4.  Representative Members.—The Representative Members shall be six in number and shall be appointed as follows :—

Two by the Council of the Rushden Friendly Society;

Two by the Rushden Boot Manufacturers' Association;

One by the Rushden Division of the St. John's Ambulance Brigade; and

One by the Rushden Nursing Association.

Each appointment shall be made for a term of four years at a meeting convened and held according to the ordinary practice of the appointing body. The Chairman of the meeting shall forthwith cause the name of each person appointed to be notified to the Committee or their Clerk. The person appointed may be, but need not be, a member of the appointing body.

5.  First  Representative Members.—The first  Representative Members shall be appointed as soon as possible after the date hereof, and their names shall be notified to the Rector for the time being of Rushden on behalf of the Trustees.

6.  Medical Members.—The Medical Members shall be not more than four in number and shall be medical practitioners residing in or near Rushden.

7.  First Medical Members.-The following persons shall be the first Medical Members and shall be entitled, subject to the provisions hereinafter contained with respect to determination of Membership, to hold office until the commencement of the first, meeting of the Committee held in the year 1928:—

DUDLEY GEORGE GREENFIELD, of The Hayway, Rushden, Esquire, M.D., FRCS;

RICHARD WYNYARD DAVIES, of Griffith Street, Rushden, Esquire, M.B.; and

OLIVIER ARMAND JAMES NEEDHAM MURISET, of Church Street Rushden, Esquire, M.B.

8.  Future Medical Members.—Every future Medical Member shall be appointed by a resolution of the Committee, and shall hold office until the commencement of the first meeting of the Committee held in the year following his appointment.

9.  Declaration by Members.—No person shall be entitled to act as a Member of the Committee, whether on a first or on any subsequent entry into office, until after signing in the minute book of the Committee a declaration of acceptance and of willingness to act in the trusts of this Scheme.

10.  Determination of Membership.—Any Medical Member who ceases to be qualified as aforesaid, any Representative Member who is absent from all meetings of the Committee during a period of one year, and any Member of the Committee who is adjudged bankrupt or makes a composition or arrangement with his creditors, or who is incapacitated from acting, or who communicates in writing to the Committee a wish to resign, shall thereupon cease to be  a Member of the Committee.

11.  Vacancies.—Upon the occurrence of a. vacancy the Committee shall, at their next meeting, cause a note thereof to be entered in their minute book, and in the case of a vacancy in the office of Representative Member shall cause notice thereof to be given as soon as possible to the proper appointing body. Any competent Member may be re-appointed.

Meetings of Committee.

12.  Ordinary Meetings.—The Committee shall hold at least two ordinary meetings in each year.

13.  First Meeting.—The first meeting of the Committee shall be summoned by the said Rector, or, if he fails for two calendar months after the date of this Scheme to summon a meeting, by any two of the Members of the Committee.

14.  Chairman.—The Committee shall at their first ordinary meeting in each year elect one of their body to be Chairman of their meetings until the commencement of the first ordinary meeting in the following year. The Chairman shall always be eligible for re-election. If at any meeting the Chairman is not present within ten minutes after the time appointed for holding the same, or there is no Chairman, the Members of the Committee present shall choose one of their number to be Chairman of the meeting.

15.  Special Meetings.—A special meeting may at any time be summoned by the Chairman or any two Members of the Committee upon four days' notice being-given to all the other Members of the matters to be discussed.

16.  Quorum.—There shall be a quorum when five Members of the Committee are present at a meeting.

17.  Voting.—Every matter shall be determined by the majority of votes of the Members of the Committee present and voting on the question. In case of equality of votes the Chairman of the meeting shall have a casting vote, whether he has or has not previously voted on the same question, but no Member shall in any other circumstances give more than one vote.

Estate Trustees.

18  Estate Trustees.—For the purpose of holding any lands or hereditaments belonging to the Charity known as the Rushden Cottage Hospital there shall be a body of Estate Trustees, consisting of not less th.au two or more than six competent persons     The Estate Trustees shall deal with and dispose ol any lands or hereditaments vested in them in such manner as the Committee may  from time direct.    Every Estate Trustee shall hold office for life.

19. First Estate Trustees.—The  following persons shall be the first Estate Trustees:-

The said PERCY EDWARD ROBSON;

The said ANNIE ROBINSON;

The said FRED KNIGHT; and

The said DUDLEY GEORGE GREENFIELD.

20. Future Estate Trustees.Every future Estate Trustee shall be appointed by the Committee or by the Charity Commissioners on the application of the Committee.

Object of the Hospital Charity.

21.   Hospital.—The  object of the Charity known as the Rushden Cottage Hospital (hereinafter referred to as the Hospital Charity) shall be the maintenance of a Cottage Hospital for the reception and treatment of sufferers from accident or disease (other than infectious or incurable disease) who are resident in or in the neighbourhood of Rushden. Provided that if the accommodation in the Hospital shall at any time be more than is required for the reception and treatment of persons resident as aforesaid, the Committee may admit to the Hospital persons resident outside Rushden or its neighbourhood.

Lands of Hospital Charity.

22.   Hospital Buildings.—Such part of the hereditaments specified in the Schedule hereto and belonging to the Hospital Charity as is required for the purpose shall, subject to any further Order or direction of the Charity Commissioners, be appropriated and used for the purposes of the Hospital of the Hospital Charity.

23.  Letting.—Any part of the said hereditaments not so required shall be let and otherwise managed by the Committee. In every case public notice of the intention to let any land shall be given by the Committee in such manner as they consider most effectual for ensuring full publicity. The Committee shall not create any tenancy in reversion after more than 3 years of any existing term, or for more than 21 years certain, or for less than the improved annual value at rackrent, without the sanction of the Charity Commissioners or a competent Court. The Committee shall provide that on the grant by them of any lease the lessee shall execute a counter­part thereof; and every lease shall contain covenants on the part of the lessee for the payment of rent, and all other usual and proper covenants applicable to the property comprised therein, and a proviso for re-entry on non-payment of the rent or non-performance of the covenants.

24.  Mortgage.(1) For the purpose of providing for the repayment of the mortgages referred to in the Schedule hereto and for improvements to the buildings of the Hospital Charity the Committee may borrow a sum of £1,000, at interest at a rate not exceeding 6 per cent, per annum, and to be secured by a mortgage of the whole or any part of the lands or hereditaments belonging to the Hospital Charity.

(2)  The amount of the loan shall be repaid within the period of 30 years from the date of the borrowing thereof

(3)  Subject to any further Order or direction of the Charity Commissioners a for such repayment shall be provided in manner following:-

(a)  "The Official Trustees of Charitable Funds" shall forthwith transfer to a separate Investment Account the sum of £659 7s. 5d. 3½ per cent. Conversion Stock belonging to the Charity of Jeremiah Knight;

(b)   The said Official Trustees shall from time to time invest the dividends accruing upon the Stock standing to the credit of the said Investment Account, and any cash placed to the same credit, at compound interest, in the purchase in their name, of Government Stock, in trust for the Hospital Charity, to the credit of the same Account until the amount of the loan has been fully repaid;

(c)  When the Stock purchased for the credit of the said Investment Account

as aforesaid is of the value of £1,000 cash the said Official shall, if requested by the Committee so to do, sell the same and remit the proceeds to the Committee to be applied in repayment of the amount of the loan.

Application of Income.

25.  Expenses of Management.—The cost of repairs and insurance, and all other charges and outgoings payable in respect of the property of the Charities, and all the proper costs, charges and expenses of and incidental to the administration and management of the Charities, shall be first defrayed by the Committee out of the income thereof.

26.  Maintenance of Hospital.—Subject to the payments aforesaid, the yearly income of the Charities shall be applied by the Committee for the maintenance and benefit of the Hospital of the Hospital Charity.

Regulations.

07.  Regulations. —Within the limits allowed by this Scheme the Committee

shall have power to make regulations for the management of the Charities and for the conduct of their business, and in particular (but without prejudice to the generality of this provision) with respect to all or any of the following matters:-

(a)
The summoning of meetings of the Committee.
(b)
The deposit of money at a proper bank and the custody of documents
(c)

The reception and treatment of patients in the Hospital, their conduct while inmates thereof and their discharge therefrom.


(d)

Payment, if and so far as the Committee from time to time think proper
of fees by or on behalf of patients.

(e)

The appointment, remuneration and duties of Medical Officers, a Matron and a proper staff.

(f)
The appointment of Sub-Committees and the delegation thereto of any of the powers, rights or duties of the Committee.

General Provisions.

28.  Minutes and Accounts. — A minute book and books of account shall be provided and kept by the Committee. All proper accounts in relation to the Charities shall in each year be made out and certified in such manner as the Charity Commissioners require, and copies thereof shall be transmitted to the said Commissioners, and published in conformity with the provisions of the Charitable Trusts Acts.

29.  Clerk. —The Committee may appoint some fit person to be their Clerk and to hold office during their pleasure, and may pay to him (not being a Trustee) such reasonable salary as they think fit.

30.  Investment of Cash.All sums of cash now or at any time belonging to any of the Charities and not needed for immediate working purposes shall (unless otherwise ordered) as soon as possible be invested, under the authority of a further Order of the Charity Commissioners, in the name of the said Official Trustees of Charitable Funds.

31.  Donations, etc.The Committee may receive any additional endowments for the general purposes of the Hospital Charity. They may also receive donations or endowments for any special purpose connected with the Hospital inconsistent with or calculated to impede the due working of the provisions of this

Scheme.

32.  Members not to be personally interested.—No Member of the Committee shall take or hold any interest in property belonging to the Hospital Charity otherwise than as a Trustee for the purposes thereof, and no Member shall receive any remuneration, or be interested in the supply of work or goods, at the cost of the Charities.

33.  Questions under Scheme.—Any question as to the construction of this Scheme, or as to the regularity or the validity of any acts done under this Scheme, shall be determined conclusively by the Charity Commissioners, upon such application made to them for the purpose as they think sufficient.

SCHEDULE OF PROPERTY.

Rushden Cottage Hospital.

17 and 19 Griffith Street in 2012
Two freehold messuages or dwelling houses with the gardens, outbuildings and appurtenances thereto belonging, situate in and known as Nos. 17 and 19 Griffith Street, Rushden.

Note.—The above-mentioned hereditaments are subject to mortgages securing payment of the principal sums of £650 and £100 respectively.

Foskett Wilkins Charity. The following investments held by "The Official Trustees of Charitable Funds":-

£480 Rushden and Higham Ferrers District Gas Company Original Ordinary Stock.

£24   Rushden and Higham Ferrers District Gas Company Additional Ordinary Stock.

£300 6 per cent. Mortgages of the same Company. £83 3s. 7d. 2½ per cent. Consolidated Stock. £35 11s. 3d. 5 per cent. War Stock, 1929-47.

£63 7s. 9d. 2½per cent. Consolidated Stock (augmentation of Susan Elizabeth Foskett).

£315 3s.  5 per cent. War Stock, 1929-47 (augmentation of Mary Ann Foskett).

Charity of Jeremiah Knight.

£659 7s. 5d. 3½ per cent. Conversion Stock held by the said Official Trustees.

Note.—This Charity is entitled, subject to the life interest therein of Florence Cowley, to the proceeds of sale of a house in Denmark Road, Rushden, and to a sum of £1,000 5 per cent. War Stock, 1929-47, now standing in the names of John Smith Mason and William Alfred Patenall (deceased).
